1 Agreement to Terms

By accessing or using MindLedger ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users of MindLedger, including providers who register for an account and patients who complete intake forms via a provider-issued link.

MindLedger is operated by Kingdom Age Capital Holdings LLC ("we," "us," or "our"), a Maryland limited liability company.

2 Description of Service

MindLedger provides a digital intake form platform designed to assist licensed mental health providers in collecting structured pre-appointment information from patients. The Service generates a PDF summary of patient responses and delivers it to the registered provider by email.

MindLedger is a documentation and intake support tool. It does not provide medical diagnosis, clinical assessment, or treatment recommendations of any kind. All clinical decisions remain the sole responsibility of the licensed provider.

3 Provider Responsibilities

As a provider using MindLedger, you agree that:

• You are a licensed mental health professional authorized to practice in your jurisdiction
• You are the covered entity responsible for HIPAA compliance in your practice
• You will store and handle all patient-generated PDFs in accordance with applicable law, including HIPAA
• You will not share your intake link in a manner that exposes patient information to unauthorized parties
• You understand that MindLedger does not retain patient response data after PDF generation
• You remain solely responsible for all clinical decisions made in connection with patient care

4 Not Medical Advice

The intake form questions, structure, and PDF outputs provided by MindLedger are designed to assist in collecting patient-reported information. They are not a substitute for clinical evaluation, professional judgment, or evidence-based diagnostic criteria.

Nothing in the MindLedger platform — including but not limited to safety screening questions, symptom checklists, or mood assessments — constitutes a clinical diagnosis, risk assessment determination, or treatment recommendation. Providers must apply their own clinical judgment to all information gathered through the platform.

5 Accounts and Billing

Provider accounts are created by registering on the MindLedger website. You are responsible for maintaining the security of your account and intake link. Free accounts include a limited number of patient submissions at no charge. Pro accounts are billed monthly at the rate displayed at the time of subscription.

We reserve the right to modify pricing with reasonable notice to active subscribers. Refunds are handled on a case-by-case basis — contact us at the address below.

6 Intellectual Property

The MindLedger platform, including its design, code, form structure, and content, is the property of Kingdom Age Capital Holdings LLC. You may not reproduce, distribute, or create derivative works from the platform without written permission.

Patient-generated intake responses belong to the patient. Provider-generated PDFs are the responsibility of the provider once delivered.

7 Limitation of Liability

To the fullest extent permitted by law, Kingdom Age Capital Holdings LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of MindLedger, including but not limited to clinical decisions made based on intake information, loss of patient data, or service interruptions.

Our total liability for any claim arising from use of the Service shall not exceed the amount paid by you to MindLedger in the three months preceding the claim.

8 Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or use the Service in a manner that could harm patients or others. You may cancel your account at any time by contacting us.

9 Governing Law

These Terms of Service are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Maryland.

10 Changes to These Terms

We may update these Terms of Service as the Service evolves. When we make material changes, we will update the effective date and notify active providers by email. Continued use of MindLedger after changes are posted constitutes acceptance of the updated terms.
